Aiden Terms of Service

These Terms of Service (“Terms”) govern the relationship between Aiden (referred to as “Aiden”, the “Platform”, “we”, or “us”) and the entity or individual (referred to as the “User”, "Customer," "you," "your") using or accessing our services (collectively, the “Services”). By registering an account or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which outlines how we handle your data. If you do not agree, you must not use and access the Services. These Terms refer to and incorporate any written purchase documents executed by you and Aiden ("Order Form(s)"). Together with the Terms, the Privacy Policy, and Order Forms constitute the single binding agreement between you and Aiden ("Agreement").

These Terms may be updated and presented again to the Customer from time to time, all changes will take effect from the "Last Updated" date indicated at the top of this page. Continued use of the Services constitutes acceptance of the updated terms. If you do not agree with the contents of the Agreement, please stop using or accessing the Services.

  1. Access and Use

a. Account Registration

These Terms of Service applies to all users of the Aiden product, including individual users and entity clients. The Service is a general-purpose artificial intelligence assistant designed to provide users with intelligent conversation, content creation, and tool operation capabilities. To access and use the Services, you must create an Aiden user account. You agree to provide true, accurate, current, and complete information about yourself during registration and to promptly update such information if it changes.

To access our Services, you must complete account registration on the website and ensure that the personal information you provide is accurate, up-to-date, and complete. You must promptly update any changes and must not impersonate others or provide false information. Your login credentials (e.g., username, password, access keys) must remain confidential, and you are responsible for all activities conducted under your account. If you detect unauthorized use or security breaches, you must notify us immediately. We reserve the right to disable your account if you violate these Terms or provide false information. By using our Services, you consent to our collection and use of information about you and your device to improve our products and provide Services. You are responsible for maintaining the confidentiality of your account and for activities under your account and agree to notify us immediately upon discovering unauthorized use or security issues.

b. Age Requirement

To create an account and use the Services, you must be at least 18 years old and have the legal capacity to enter into binding agreements under the laws of your jurisdiction. The Services are not intended for individuals under the age of 18. If you are under 18, you are strictly prohibited from accessing or using the Services, and you must not attempt to register an account.

By accessing or using the Services, you represent and warrant that you meet these eligibility requirements. We reserve the right to suspend or terminate your access without notice if we discover or reasonably suspect that you do not meet these requirements.

c. Access Grant

Aiden will use commercially reasonable efforts to make Aiden’s proprietary platform that allows you to build multi-agent automations using AI Technology available to you and your Affiliates.

Subject to your compliance with these terms and conditions, Aiden hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services and associated Documentation solely for your internal business purposes, and solely by you and your Authorized Users during the Term.

All rights, title, and interest in and to the Services, Documentation, and Aiden’s intellectual property are and shall remain the exclusive property of Aiden and its licensors. No rights are granted to you other than as expressly set forth in this Agreement.

We reserve the right to modify, suspend, or terminate any part of the Services at any time without prior notice. You agree not to use the Services in any way that could damage its functionality or accessibility.

d. Account Responsibilities

You and your Authorized Users may be required to create a user account to access or use the Services, and you must ensure that all personal information you provide is accurate, current, and complete. You are responsible for all use of the Services resulting from access through your account, whether directly or indirectly, and whether authorized by you or not. This includes (i) all acts and omissions of your Authorized Users, and any act or omission by an Authorized User that would constitute a breach of these terms if committed by you; and (ii) maintaining the confidentiality of all account credentials, including usernames, passwords, and access keys.

e. Restrictions:

You may not use the Services for any purposes beyond the scope of the rights expressly granted in these Terms of Services. Unless explicitly authorized by Aiden in writing, you agree that neither you nor your Authorized Users will, directly or indirectly:

  1. Reverse Engineering & Derivative Works: Reverse engineer, decompile, disassemble, modify, decode, adapt, translate, or create derivative works of the Services, or attempt to access or derive source code or underlying algorithms, except as permitted by applicable law.
  2. Unauthorized Access or Transfer: Make the Services available to anyone other than Authorized Users; transfer, sublicense, lease, lend, sell, or otherwise share access to the Services with any third party.
  3. Competing Services: Use the Services to develop or improve any competing products or services, including to train models that compete with Aiden’s technology.
  4. Prohibited Use or Misuse: Use the Services for any unlawful, harmful, fraudulent, infringing, discriminatory, defamatory, deceptive, pornographic, or unethical purpose, or in a manner that could harm our platform, users, or reputation.
  5. Security Violations: Probe, scan, or test vulnerabilities of the Services or circumvent any security or authentication measures; engage in load testing or penetration testing without our prior written consent.
  6. Data Abuse: Use bots, scrapers, crawlers, or automated tools to mine, extract, or harvest data in a way that imposes excessive load or deviates from normal human usage.
  7. Malicious Content: Upload or distribute any viruses, spyware, malware, or other harmful technologies, or any software, code, or material that degrades system performance or introduces security risks.
  8. Removal of Notices: Remove or alter any copyright notices, terms of use, proprietary labels, or disclaimers within the Services.
  9. Intellectual Property Infringement: Activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under applicable law.
  10. Exceeding Limits: Exceed usage thresholds or consume resources in a manner that interferes with the stability or performance of the Services for others. We may implement reasonable technical measures to control such excessive usage.
  11. Regulatory Compliance: Use the Services in any manner classified as high-risk or prohibited under applicable AI laws and regulations, including but not limited to decision-making in legal, medical, financial, or employment contexts without human oversight.
  12. Credential Protection: Share or disclose your or your Authorized Users’ usernames, passwords, or credentials with any third parties (except internal Authorized Users). You must notify Aiden immediately if you suspect any unauthorized access.
  13. Responsibility for Users: You are fully responsible for all acts and omissions of your Authorized Users and Affiliates. Any act or omission by an Authorized User that would constitute a breach of these Terms of Services if committed by you will be deemed a breach by you.
  14. Benefit Abuse and Promotional Misuse: You must use any promotional features—such as invitation rewards, point redemptions, or bonus activities—in good faith and in accordance with standard user behavior. You are prohibited from using technical means or manipulative conduct (such as bulk registration, fraudulent activity, automated tools, or system circumvention) to obtain benefits improperly.

We reserve the right to monitor user behavior and, if we reasonably determine that you or your Authorized Users have violated this section, we may revoke benefits, disqualify access to promotional programs, suspend or terminate your access to the Services without notice, block related accounts or IP addresses, seek restitution for any associated losses, and pursue all legal remedies. Attempts to circumvent such measures, including use of proxy IPs or VPNs, are strictly prohibited.

f. Service Changes:

The Services are subject to modification and change, in Aiden’s sole discretion. There are no guarantees made with respect to the quality, stability, availability, or reliability of the Services.

  1. User-Generated Content (UGC) Terms

a. Definition of User Content:

The Services refer to the platform provided by Shanghai Taikuai Technology Co., Ltd., which includes capabilities such as natural language dialogue, image recognition and generation, the use of Model Context Protocol (MCP) tools, task delegation to sub-agents, and collaboration with external Agent-to-Agent (A2A) systems.

For the purposes of these Terms of Services, "User Content" means: (a) any information or materials you provide through the Services, including text, images, videos, and other inputs; and (b) any content or outputs generated by the AI at your request or in response to your inputs, excluding the underlying models, algorithms, or system code. You acknowledge and agree that both your inputs and the resulting outputs are considered your User Content and will be governed by the terms set forth herein.

b. Ownership of User Content

You retain ownership of the prompts, inputs, uploaded content, and any AI-generated outputs or other data (“User Content”) you submit or receive through the Services. Aiden does not claim ownership over your User Content.

c. Your Responsibilities

We make no representations or warranties regarding the accuracy, completeness, timeliness, correctness, reliability, quality, suitability, or originality of any User Content processed by Aiden, and we disclaim all related liabilities. You are solely responsible for the legality, integrity, accuracy, and appropriateness of your User Content. You represent and warrant that you have all necessary rights, licenses, and consents to input, upload, or otherwise submit such content to the Services, and to use and share any outputs derived from such content. If your User Content contains third-party material, you are responsible for obtaining any necessary permissions.

By submitting or uploading any User Content, you represent and warrant that:

  1. You own or have valid licenses for all rights, titles, and interests in the User Content, including copyrights, publicity rights, and moral rights where applicable;
  2. The User Content, and Aiden’s processing or display of such content in accordance with these Terms of Services, does not infringe on any third-party rights or violate any law;
  3. To the best of your knowledge, all submitted content is accurate, up-to-date, not misleading, and does not violate these Terms.

In the event of any loss or damage to User Data, to the extent permitted by law, your sole remedy is limited to our reasonable efforts to assist you in recovering lost or damaged data.

d. License to Use

By using the Services, you grant Aiden and our affiliates a limited, worldwide, non-exclusive, royalty-free license to use, process, store, display, and analyze your User Content solely for the purpose of providing, maintaining, improving, or securing the Services, and as otherwise permitted under our Privacy Policy.

In order for us to operate and improve the Services, you grant Aiden and our affiliates a non-exclusive, transferable, worldwide, fully-paid, royalty-free, perpetual, irrevocable, sublicensable (through multiple tiers of sublicensees) right and license to use, copy, reproduce, modify, adapt, prepare derivative works from, translate, distribute, publicly perform, publicly display and derive revenue or other remuneration from your User Content (including both your inputs and the AI outputs) for the purposes of: providing the Services to you (e.g., processing your prompts and generating outputs); maintaining and optimizing the Platform’s performance; improving the accuracy and capabilities of our AI models and algorithms (for example, by using de-identified or aggregated data from user interactions to train or fine-tune models, in compliance with applicable law and our Privacy Policy); and developing new features.

This license is limited to the above purposes – we do not use your User Content for any marketing or advertising purposes without your consent, and we do not disclose your User Content to other users or the public unless you choose to share it or unless disclosure is required by law. This license will remain in effect so long as your User Content is retained by us, but will terminate when we delete the content from our systems (note: certain residual copies may persist in backup storage for a period of time, but will not be used actively).

e. Content Standards and High-Risk Use Cases

  1. Prohibited Content and Use You may not use the Services to create, distribute, or promote any content that is illegal, harmful, hateful, sexually explicit, discriminatory, violent, or otherwise in violation of our content standards or applicable law. This includes, but is not limited to, content involving sexual exploitation, child abuse, harassment, terrorism, privacy violations, or promotion of illegal activity. Our content moderation system may automatically block or flag such content. Repeated or serious violations may result in account suspension, content removal, or referral to law enforcement.
  2. Moderation and Enforcement We use automated filters and human reviewers to detect and address violations of our content policies. You agree to cooperate with moderation inquiries, including responding honestly to requests for clarification. Failure to cooperate or providing misleading information may result in restrictions or account termination.
  3. High-Risk Use Case Restrictions Certain applications of our Services are classified as high-risk due to their potential impact on individuals or public safety. These include: Legal guidance or decisions; Medical advice or diagnosis; Insurance assessments or claims; Financial decisions (e.g., loans, credit scoring); Employment and housing eligibility; Academic testing, admissions, or certifications; Public-facing journalism or media generation.
  4. Regional Compliance for Middle Eastern Users:

You may not utilize the Services to generate contents contradicting Islamic principles, including but not limited to those contents that depict human figures in violation of Islamic aniconism principles, promotes atheism or criticism of divine religions and contains references to alcohol, gambling, or other haram substances. Visual outputs depicting individuals must adhere to local religious standards.

Generation of cartographic materials depicting territorial boundaries in conflict zones is also strictly prohibited.

If your use case falls within these categories, you must: Ensure qualified human oversight and review of AI outputs before acting on them; Clearly disclose that users are interacting with or receiving output from an AI system; Avoid presenting AI-generated content as human-created when that could mislead others. Violation of these provisions may result in restrictions, account closure, or legal liability.

  1. Intellectual Property

a. Aiden IP

Aiden retains all rights, title, and interest in and to the Services, Documentation, and all technology, models, code, software, visual interfaces, algorithms, designs, methods, know-how, tools, and any enhancements, improvements, or modifications thereof (collectively, "Aiden IP"), including all related intellectual property rights. "Intellectual Property Rights" refers to all present and future rights associated with patents, inventions, copyrights, moral rights, data rights, database rights, software, domain names, trademarks, trade names, trade dress, goodwill, design rights, trade secrets, confidential information, and similar rights—whether registered or unregistered—worldwide.

These Terms of Services does not transfer any ownership of Aiden IP to you. The Services are provided on a limited-access basis, and no rights are granted except as explicitly set forth herein. The names, logos, and marks of third-party companies that may appear in the Services are the property of their respective owners and do not imply endorsement or affiliation with Aiden.

You hereby authorize Aiden and its third-party service providers to generate and use statistical data, logs, insights, usage metrics, or other aggregated operational data related to your use of the Services ("Usage Data"). Aiden may use Usage Data for any lawful purpose, including analytics, performance optimization, and service improvement, in accordance with applicable laws and our Privacy Policy.

b. Reservation of Rights

Except as expressly stated in these Terms of Services, no rights or licenses are granted to you under any intellectual property of Aiden, whether by implication, estoppel, or otherwise. Aiden reserves all rights not expressly granted herein.

c. Feedback

If you choose to provide suggestions, comments, or other feedback about the Services, you grant Aiden a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation.

  1. Representations, Warranties, and Disclaimers

a. Artificial Intelligence Disclaimer

You acknowledge and agree that Aiden’s Services include proprietary and/or third-party technologies such as artificial intelligence, machine learning, and automation systems. When using the Services, you should understand and accept the following:

  1. Acknowledgment: You acknowledge you are interacting with an AI system, which operates based on probabilistic models, AI technology may reproduce biases from training data or misinterpret instructions, and may produce incorrect or unexpected outputs.
  2. Responsibility: You agree to use discretion and independent judgment when using, relying on, or distributing any outputs. You are solely responsible for reviewing, evaluating, and approving any AI-generated content before relying on it. Any decisions or actions you take based on AI outputs are at your own risk.
  3. Limitations: AI-generated content may include errors, reflect training biases, or lack human nuance, creativity, or emotional understanding. AI may struggle with slang, cultural context, or complex reasoning.
  4. No Warranty: Aiden makes no guarantees regarding the accuracy, quality, or fitness of AI-generated outputs and disclaims all liability for losses or consequences resulting from use of such outputs.

b. Mutual Representations and Warranties

Each party represents and warrants that: (a) it has the legal power and authority to enter into these Terms and fulfill its obligations under them; (b) entering into and performing this Agreement does not violate any other agreement it is a party to; and (c) this Agreement constitutes a valid, binding, and enforceable legal obligation.

c. User Representations and Warranties

You represent and warrant that you have the legal right and authority to submit any User Content to Aiden under this Agreement, and that such submission does not and will not violate any rights or agreements with third parties or any applicable laws or regulations.

You agree to indemnify, defend, and hold harmless Aiden, its parent company, affiliates, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable legal and attorney fees) arising out of or related to: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your infringement of any third-party rights, including intellectual property, privacy, or data protection rights, by you or any person using your account.

d. Disclaimer of Warranties

Except as expressly stated, the Services are provided ****“As is” and “As Available”, Aiden disclaims all warranties of any kind, whether express, implied, statutory, or otherwise. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation. Aiden does not guarantee that the Services will meet your requirements or expectations, that the operation of the Services will be uninterrupted, timely, secure, or error-free, or that any content (including User Content or AI-generated output) will be accurate or reliable. No oral or written information or advice given by Aiden, its representatives, or the AI itself shall create any warranty.

The Services may contain links to independent third-party websites that are not operated or controlled by Aiden. We do not endorse or guarantee the availability, accuracy, or content of such third-party sites and assume no responsibility or liability for any errors, omissions, or damages arising from your access to or use of such sites. All access to external websites is at your own risk.

Nothing in these Terms excludes or limits any consumer rights you may have under applicable law. Where prohibited by law, Aiden does not disclaim liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

  1. Limitation of Liability

    a. Limitation of Liability

    To the fullest extent permitted by applicable law, Aiden and its parent company, affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of profits, revenue, goodwill, data, or business opportunities arising from your use of or inability to use the Services or content obtained through the Services—even if Aiden was advised of the possibility of such damages. This applies regardless of any legal theory (e.g., contract, tort, negligence, strict liability, warranty).

    b. Cap on Liability

    Where certain limitations are not permitted by law, our aggregate liability for all claims related to the Services shall be limited to the greater of: (a) the amount you paid for the Services in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100), even if any limited remedy fails of its essential purpose.

    c. User Responsibility and Indemnification You are solely responsible for any consequences (legal, financial, or otherwise) arising from your use or distribution of AI-generated content. This includes any harm, illegality, or rights violations caused by the content you generate or publish. You agree to defend, indemnify, and hold harmless Aiden and its affiliates, officers, and employees from any claims, losses, damages, or costs (including reasonable attorney’s fees) related to: (i) your violation of this Agreement or applicable law, (ii) your User Content or AI-generated output (including infringement of third-party rights), or (iii) your misuse of the Services. This section survives termination of this Agreement.

    d. Exceptions

    Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law. In particular, some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for death or personal injury caused by negligence. In such jurisdictions, Aiden’s liability shall be limited to the maximum extent permitted by law.

  2. Termination

Aiden may, at its sole discretion, suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, engage in abusive, fraudulent, or illegal activity, or otherwise pose risk to the platform. You may also terminate your use of the Services at any time by ceasing access and use. Upon termination, your right to access and use the Services will immediately cease, and any licenses granted to you will be revoked. Termination does not affect accrued rights or obligations.

The provisions of this Agreement that by their nature should survive termination (such as limitations of liability, indemnities, governing law, dispute resolution, and the language clause) will continue to apply even after termination of your account.

  1. Governing Law and Dispute Resolution

    a. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law rules. If you are a consumer, you may benefit from any mandatory provisions of the laws of your country of residence.

    b. Dispute Resolution

    In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter informally and in good faith. If no resolution is reached, the dispute shall be submitted to binding arbitration administered under the Cayman International Arbitration Centre rules. The arbitration shall be conducted in English. This arbitration clause does not limit such rights if prohibited by your local law.

    c. No Class Actions

    You and Aiden each waive the right to a trial by jury and the right to participate in a class action or class arbitration.

  2. General Provisions

    a. Notices

    All notices, requests, consents, claims, demands, waivers, and other communications under these Terms (“Notices”) must be in writing and directed to the appropriate party.

    b. Force Majeure

    Aiden shall not be liable or deemed in breach of these Terms for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labor disputes, legal or governmental actions, or infrastructure failures.

    c. Independent Contractors

    You and Aiden are independent contractors. Nothing in these Terms shall be interpreted to create a partnership, joint venture, employment, or agency relationship. Neither party may bind the other or incur obligations on their behalf.

    d. Severability

    If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in full force and effect.

    e. Waiver

    Failure to enforce any provision or exercise any right under these Terms shall not constitute a waiver of future enforcement or rights. A waiver of any breach does not waive any subsequent breach.

    f. Language and Version Priority

    These Terms are provided in both English and Chinese. The English version is the original and legally binding version. In the event of a conflict between the English and Chinese versions, the English version shall prevail.

    g. Entire Agreement

    These Terms, along with our Privacy Policy and any referenced documents, constitute the entire agreement between you and Aiden regarding the Services, superseding any prior agreements. If you have questions, please contact us before using the Services.
